Corporate governance holds considerable significance when it comes to enhancing the level of corporate accountability, transparency, investor protection, and sustainable economic development in emerging economies. This paper aims to perform a comparative doctrinal study of the corporate governance structure of India and Turkey by looking into various elements such as legislation, securities laws, shareholder rights, board structures, disclosures, and other institutional aspects. In this paper, the impact of international standards on corporate governance and specifically OECD principles will be analyzed while discussing the changes made to corporate governance by India and Turkey. It will be seen that despite the adoption of reforms in order to comply with international governance norms, many issues related to enforcement and regulatory inefficiencies remain.
